These Terms & Conditions (“Terms”) govern your access to and use of the FundRosters website, web-based platform, mobile applications (iOS and Android), and related services (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms.

If you do not agree, do not use the Services.

1. Platform Role

FundRosters provides software that enables organizations to manage fundraising activities. FundRosters does not organize, sponsor, administer, or control any fundraiser and does not hold or manage donated funds.

Organizations are solely responsible for their fundraising activities and use of funds.

2. Eligibility and Accounts

You must be 18 years or older to create an account.

Organizations and parents or guardians are responsible for minors who participate in fundraisers.

You are responsible for:

  • Maintaining accurate account information
  • Protecting login credentials
  • All activity under your account

3. Organization Responsibilities

Organizations using FundRosters are solely responsible for:

  • The legality and legitimacy of their fundraisers
  • Compliance with all applicable charitable solicitation, fundraising registration, tax, and nonprofit laws in any jurisdiction where they operate or solicit donations
  • Communications with donors and participants
  • The distribution, handling, and use of donated funds
  • Any rewards, incentives, or benefits offered in connection with a fundraiser, whether inside or outside the Services

FundRosters does not verify, endorse, or guarantee any organization, fundraiser, or use of funds and does not provide legal, tax, or regulatory advice.

Organizations are responsible for determining and complying with any legal or regulatory obligations applicable to their fundraising activities.

4. Donations and Third-Party Payment Processing

FundRosters enables organizations to receive donations through third-party payment processors.

FundRosters does not receive, hold, control, or distribute donated funds and is not a bank, payment processor, or charitable organization.

All donation transactions are processed by independent third-party providers. Your use of those payment services is subject to the terms and privacy policies of the applicable payment processor, not FundRosters.

Unless required by applicable law or the policies of the payment processor:

  • Donations are final and non-refundable
  • Any refund requests, chargebacks, or payment disputes must be handled directly with the organization or the payment processor
  • FundRosters is not responsible for resolving payment disputes or issuing refunds

FundRosters makes no representations or guarantees regarding:

  • The legitimacy of any organization or fundraiser
  • The use, distribution, or tax treatment of donated funds
  • Whether a donation qualifies as tax-deductible

Donors are solely responsible for reviewing fundraiser information and determining whether to make a donation.

5. Subscriptions, Fees, and Billing

Some features of the Services may be available at no cost. All users, including those using free features, remain subject to these Terms.

Certain features may require payment of a subscription fee. By purchasing a subscription, you agree that:

  • Subscriptions may automatically renew at the end of each billing period unless canceled before the renewal date
  • You authorize FundRosters (or its payment processor) to charge applicable fees and taxes to your selected payment method on a recurring basis
  • You are responsible for keeping billing and payment information current
  • Cancellations apply to future billing periods only, and access continues through the end of the current billing period
  • Fees are non-refundable, except where required by law
  • No refunds or credits are provided for partial billing periods, unused features, or early cancellation, except where required by law

FundRosters may change subscription pricing or features with reasonable prior notice. Continued use of a paid subscription after a pricing change becomes effective constitutes acceptance of the updated pricing.

6. Data Exports by Organizations

Organization administrators may export donor or participant data. Once exported:

  • FundRosters does not control the data
  • Organizations are responsible for lawful use and protection
  • FundRosters is not liable for misuse outside the Services

7. Prohibited Conduct

You agree not to:

  • Use the Services for illegal, fraudulent, or misleading purposes
  • Misrepresent fundraising activities
  • Exploit or endanger minors
  • Interfere with platform security or operations
  • Circumvent fees or restrictions
  • Upload malicious code or spam

We may suspend or terminate accounts that violate these Terms.

8. Intellectual Property

The Services, including all software, content, branding, and design, are owned by FundRosters or its licensors.

You receive a limited, non-transferable license to use the Services.

You may not copy, modify, distribute, or reverse engineer any part of the Services.

9. Suspension and Termination

FundRosters may suspend or terminate access to the Services at any time if:

  • These Terms are violated
  • Required by law
  • Necessary to protect users or the platform

Termination does not affect obligations related to completed transactions or fundraisers.

10. Disclaimers

The Services are provided “as is” and “as available.”

FundRosters does not guarantee:

  • Fundraising success
  • Donor participation
  • Continuous or error-free operation

Use of the Services is at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, FundRosters is not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of donations, revenue, or data
  • Disputes between users, donors, or organizations
  • Actions taken outside the Services

Total liability will not exceed the amount paid to FundRosters in the 12 months before the claim.

12. Indemnification

You agree to indemnify and hold harmless FundRosters from claims or damages arising from:

  • Your use of the Services
  • Your fundraising activities
  • Violations of these Terms
  • Misuse of donor or participant data

13. Arbitration and Class Action Waiver

Any dispute arising from these Terms or the Services will be resolved through binding individual arbitration, not in court.

You agree to waive any right to participate in a class action lawsuit or class arbitration.

Arbitration procedures will follow applicable U.S. arbitration rules.

14. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles.

15. Privacy

Your use of the Services is also governed by the FundRosters Privacy Policy.

16. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
